(TSX-V\u00a0: SOI) <\/strong>(la \u00ab<strong> Soci\u00e9t\u00e9 <\/strong>\u00bb) annonce la cl\u00f4ture, en date effective du 30 avril 2024, d\u2019un placement priv\u00e9 sans l\u2019entremise d\u2019un courtier pour un montant total brut de 1\u00a0310\u00a0755\u00a0$ (le\u00a0\u00ab\u00a0<strong>Placement\u00a0<\/strong>\u00bb). Le Placement consistait en l\u2019\u00e9mission de 21\u00a0845\u00a0915 unit\u00e9s de la Soci\u00e9t\u00e9 (les\u00a0\u00ab\u00a0<strong>Unit\u00e9s<\/strong>\u00a0\u00bb) au prix de 0,06 $ par Unit\u00e9. Chaque Unit\u00e9 comprend une action ordinaire de la Soci\u00e9t\u00e9 (une\u00a0\u00ab\u00a0<strong>Action ordinaire<\/strong>\u00a0\u00bb) et un bon de souscription d\u2019Action ordinaire (un \u00ab\u00a0<strong>Bon de souscription<\/strong>\u00a0\u00bb). Chaque Bon de souscription permet \u00e0 son d\u00e9tenteur de souscrire \u00e0 une Action ordinaire \u00e0 un prix d\u2019exercice de 0,12\u00a0$ par Action ordinaire pour une p\u00e9riode de vingt-quatre mois (24) suivant la date d\u2019\u00e9mission. Le produit brut du Placement sera utilis\u00e9 principalement pour financer les travaux d\u2019exploration du projet aurif\u00e8re Cheechoo ainsi que pour les besoins g\u00e9n\u00e9raux et le fonds de roulement de la Soci\u00e9t\u00e9.<\/p>\n<p>&nbsp;<\/p>\n<p>Aucun frais d\u2019interm\u00e9diation n\u2019a \u00e9t\u00e9 pay\u00e9 \u00e0 des interm\u00e9diaires dans le cadre du Placement. Les Actions ordinaires et les Bons de souscription \u00e9mis en vertu de ce Placement sont assujettis \u00e0 une p\u00e9riode de restriction de quatre mois et un jour, se terminant le 31 ao\u00fbt 2024, en vertu de la l\u00e9gislation canadienne applicable. Le Placement demeure soumis \u00e0 l\u2019approbation finale de la Bourse de croissance TSX (la\u00a0\u00ab\u00a0<strong>Bourse<\/strong>\u00a0\u00bb).<\/p>\n<p>&nbsp;<\/p>\n<p>Dans le cadre du Placement, des initi\u00e9s de la Soci\u00e9t\u00e9 ont souscrit \u00e0 un total de 1\u00a0142\u00a0000 Unit\u00e9s pour une contrepartie totale de 68\u00a0520\u00a0$, ce qui constitue une \u00ab\u00a0<em>op\u00e9ration avec des personnes apparent\u00e9es<\/em>\u00a0\u00bb au sens du <em>R\u00e8glement 61-101 sur les mesures de protection des porteurs minoritaires lors d\u2019op\u00e9rations particuli\u00e8res<\/em> (le \u00ab\u00a0<strong>R\u00e8glement 61-101<\/strong>\u00a0\u00bb) et au sens de la politique 5.9 de la Bourse \u2013 <em>Mesures de protection des porteurs minoritaires lors d\u2019op\u00e9rations particuli\u00e8res<\/em>. Cependant, les administrateurs de la Soci\u00e9t\u00e9 qui ont vot\u00e9 en faveur du Placement ont d\u00e9termin\u00e9 que les dispenses de l\u2019obligation d\u2019\u00e9valuation officielle et de l\u2019approbation des porteurs minoritaires, pr\u00e9vues respectivement aux articles 5.5 a) et 5.7 1)a) du R\u00e8glement 61-101, peuvent \u00eatre invoqu\u00e9es, car ni la juste valeur marchande des Unit\u00e9s \u00e9mises \u00e0 des initi\u00e9s, ni la juste valeur marchande de la contrepartie pay\u00e9e pour ces Unit\u00e9s ne d\u00e9passent 25 % de la capitalisation boursi\u00e8re de la Soci\u00e9t\u00e9. Aucun administrateur de la Soci\u00e9t\u00e9 n\u2019a exprim\u00e9 d\u2019opinion contraire ou de d\u00e9saccord en lien avec ce qui pr\u00e9c\u00e8de.
