Le Placement consistait en l\u2019\u00e9mission de 800\u00a0000 actions ordinaires de la Soci\u00e9t\u00e9 (les\u00a0\u00ab\u00a0<strong>Actions ordinaires<\/strong>\u00a0\u00bb) au prix de 0,05\u00a0$ par Action ordinaire et de 1\u00a0375\u00a0000 Actions ordinaires \u00e9mises \u00e0 titre d\u2019\u00ab\u00a0<em>actions accr\u00e9ditives<\/em>\u00a0\u00bb au sens du paragraphe 66(15) de la <em>Loi de l&rsquo;imp\u00f4t sur le revenu (Canada)<\/em> et de l&rsquo;article 359.1 de la <em>Loi sur les imp\u00f4ts (Qu\u00e9bec<\/em>) (les\u00a0\u00ab\u00a0<strong>Actions accr\u00e9ditives<\/strong>\u00a0\u00bb et collectivement avec les Actions ordinaires, les \u00ab\u00a0<strong>Actions<\/strong>\u00a0\u00bb), au prix de 0,08\u00a0$ par Action accr\u00e9ditive.<\/p>\n<p>&nbsp;<\/p>\n<p>Le produit brut du Placement d\u00e9coulant de la vente des Actions ordinaires sera principalement utilis\u00e9 par la Soci\u00e9t\u00e9 pour financer son fonds de roulement et ses frais administratifs g\u00e9n\u00e9raux, alors que le produit brut du Placement d\u00e9coulant de la vente des Actions accr\u00e9ditives sera utilis\u00e9 principalement pour financer l&rsquo;exploration du\u00a0projet aurif\u00e8re Cheechoo.<\/p>\n<p>&nbsp;<\/p>\n<p>Aucun honoraire d\u2019interm\u00e9diation n\u2019a \u00e9t\u00e9 pay\u00e9 pour ce Placement. Les Actions \u00e9mises en vertu de ce Placement sont assujetties \u00e0 une p\u00e9riode de restriction de quatre mois et un jour, se terminant le 3 mars 2024, en vertu de la l\u00e9gislation canadienne sur les valeurs mobili\u00e8res applicables. Le Placement demeure soumis \u00e0 l\u2019approbation finale de la Bourse de croissance TSX.<\/p>\n<p>&nbsp;<\/p>\n<p>Des initi\u00e9s de la Soci\u00e9t\u00e9 ont souscrit, collectivement, \u00e0 un total de 537\u00a0500 Actions pour une contrepartie totale de 31\u00a0000,00\u00a0$ dans le cadre du Placement, ce qui constitue une \u00ab\u00a0op\u00e9ration avec des personnes apparent\u00e9es\u00a0\u00bb au sens du\u00a0<em>R\u00e8glement 61-101 sur les mesures de protection des porteurs minoritaires lors d\u2019op\u00e9rations particuli\u00e8res<\/em>\u00a0(le \u00ab\u00a0<strong>R\u00e8glement 61-101<\/strong>\u00a0\u00bb) et au sens de la politique 5.9 de la Bourse de croissance TSX \u2013\u00a0<em>Mesures de protection des porteurs minoritaires lors d\u2019op\u00e9rations particuli\u00e8res<\/em>. Cependant, les administrateurs de la Soci\u00e9t\u00e9 qui ont vot\u00e9 en faveur du Placement ont d\u00e9termin\u00e9 que les dispenses de l\u2019obligation d\u2019\u00e9valuation officielle et de l\u2019approbation des porteurs minoritaires, pr\u00e9vues respectivement aux articles 5.5 a) et 5.7 1) a) du R\u00e8glement 61-101, peuvent \u00eatre invoqu\u00e9es, car ni la juste valeur marchande des Actions \u00e9mises \u00e0 des initi\u00e9s, ni la juste valeur marchande de la contrepartie pay\u00e9e pour ces Actions ne d\u00e9passent 25\u00a0% de la capitalisation boursi\u00e8re de la Soci\u00e9t\u00e9. Aucun administrateur de la Soci\u00e9t\u00e9 n\u2019a exprim\u00e9 d\u2019opinion contraire ou de d\u00e9saccord en lien avec ce qui pr\u00e9c\u00e8de.
