Le Placement d\u2019Unit\u00e9s consistait en l\u2019\u00e9mission de 3\u00a0500\u00a0000 unit\u00e9s de la Soci\u00e9t\u00e9 (les \u00ab\u00a0<strong>Unit\u00e9s<\/strong>\u00a0\u00bb) au prix de 0,10\u00a0$ par Unit\u00e9. Chaque Unit\u00e9 comprend une action ordinaire de la Soci\u00e9t\u00e9 (une \u00ab\u00a0<strong>Action ordinaire<\/strong>\u00a0\u00bb) et un bon de souscription d\u2019Action ordinaire (un \u00ab\u00a0<strong>Bon de souscription<\/strong>\u00a0\u00bb). Le produit net de la vente des Unit\u00e9s sera principalement utilis\u00e9 par la Soci\u00e9t\u00e9 pour d\u00e9velopper son projet aurif\u00e8re Cheechoo ainsi que pour les besoins g\u00e9n\u00e9raux et le fonds de roulement de la Soci\u00e9t\u00e9.<\/p>\n<p>De plus, la Soci\u00e9t\u00e9 est heureuse d\u2019annoncer la cl\u00f4ture de la deuxi\u00e8me et derni\u00e8re tranche de son placement priv\u00e9 accr\u00e9ditif sans l\u2019entremise d\u2019un courtier pr\u00e9alablement annonc\u00e9 pour un montant brut total d\u2019environ 98\u00a0996\u00a0$ (le \u00ab\u00a0<strong>Placement d\u2019Actions accr\u00e9ditives<\/strong>\u00a0\u00bb et, collectivement avec le Placement d\u2019Unit\u00e9s, les\u00a0\u00ab\u00a0<strong>Placements<\/strong>\u00a0\u00bb). Le produit net total du Placement d\u2019Actions accr\u00e9ditives, incluant la premi\u00e8re tranche pr\u00e9alablement cl\u00f4tur\u00e9e le 31 ao\u00fbt 2021, est 886\u00a0468\u00a0$.<\/p>\n<p>Chaque Action accr\u00e9ditive se qualifie \u00e0 titre d\u2019\u00ab\u00a0action accr\u00e9ditive\u00a0\u00bb au sens de la <em>Loi de l\u2019imp\u00f4t sur le revenu<\/em> (Canada) et de la <em>Loi sur les imp\u00f4ts<\/em> (Qu\u00e9bec). Les d\u00e9penses admissibles feront l\u2019objet d\u2019une renonciation en faveur des souscripteurs avec une date d\u2019entr\u00e9e en vigueur au plus tard le 31 d\u00e9cembre 2021. Cependant, les administrateurs de la Soci\u00e9t\u00e9 qui ont vot\u00e9 en faveur du Placement d\u2019Unit\u00e9s ont d\u00e9termin\u00e9 que les dispenses de l\u2019obligation d\u2019\u00e9valuation officielle et de l\u2019approbation des porteurs minoritaires, pr\u00e9vues respectivement aux articles 5.5 a) et 5.7 1) a) du R\u00e8glement 61-101, peuvent \u00eatre invoqu\u00e9es car ni la juste valeur marchande des Unit\u00e9s \u00e0 des initi\u00e9s, ni la juste valeur marchande de la contrepartie pay\u00e9e pour ces Unit\u00e9s ne d\u00e9passent 25\u00a0% de la capitalisation boursi\u00e8re de la Soci\u00e9t\u00e9.
