This Offering consists of the issuance of a maximum of 5,000,000 common shares of the Corporation (the\u00a0\u201c<strong>Common<\/strong> <strong>Shares<\/strong>\u201d) at a price of 0.05$ per Common Share and a maximum of 3,125,000\u00a0Common Shares issued as \u201c<em>flow-through shares<\/em>\u201d pursuant to section 66(15) of the <em>Income Tax Act (Canada) <\/em>and section 359.1 of the <em>Tax<\/em><em>ation<\/em><em> Act<\/em><em> (Qu\u00e9bec)<\/em> (the\u00a0\u201c<strong>Flow-Through Shares<\/strong>\u201d), at a price of 0.08$ per Flow-Through Share.<\/p>\n<p>&nbsp;<\/p>\n<p>The gross proceeds of the Offering from the sale of the Common Shares will be mainly used by the Corporation for general working capital and other administrative expenses, as the gross proceeds of the Offering from the sale of the Flow-Through Shares will be mainly used to finance the exploration work on its Cheechoo gold project.<\/p>\n<p>&nbsp;<\/p>\n<p>The Common Shares and Flow-Through Shares issued under this Offering will be subject to a hold period of four months and one day following the closing of the Offering.
